TERMS AND CONDITIONS OF THE ONLINE STORE REGARDING CONDITIONS APPLICABLE TO SUPPLIERS
- 1 GENERAL PROVISIONS
The terms and conditions define the rules and conditions for the use by suppliers of electronic services provided by the Seller within the framework of the Store. In all matters not regulated by these terms and conditions, the provisions of the Customer Terms and Conditions available on the Store’s website apply.Definitions are as follows:
- CUSTOMER: A natural person or legal entity that places an Order in the Store.
- SUPPLIER: A natural person or legal entity that, under the rules specified in the respective terms and conditions, fulfills Orders on behalf of the Seller and delivers Products to the Customer.
- PRODUCT: A movable item presented in the Store, which is the subject of the Sales Agreement.
- SALES AGREEMENT: A contract for the sale of Products entered into between the Seller and the Customer using the Store’s online service.
- STORE: The online service available at www.salesmonopoly.com, through which the Customer may place an Order.
- ORDER: A declaration of intent by the Customer, clearly specifying the type and quantity of Products, aimed directly at entering into a Sales Agreement.
- SELLER: SALES MONOPOLY SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, with its registered office at: ul. Wagrowska 12G/3, 61-369 Poznań, Poland, entered in the Polish National Court Register of Entrepreneurs maintained by the District Court of Poznań — Nowe Miasto and Wilda in Poznań, VIII Commercial Division of the National Court Register under the number: 0001143549, with a Tax Identification Number (NIP): 7822948680.
- 2 SUPPLIER
To obtain full functionality of the Store in terms of becoming a supplier of Products to the Store, an entrepreneur should register an appropriate supplier account in the Store and specify the products they want to supply to the Store, which will then be approved by the Store. The Seller may also independently register the supplier account based on arrangements made with the given entrepreneur – in such a case, the Seller will provide login credentials to the entrepreneur.Regardless of the form of registration, the entrepreneur obtaining supplier status is obligated to verify or complete their data upon first logging into the Store.To ensure the Store’s compliance with applicable law, the proper functioning of the Store, and the protection and security of its users, the Seller reserves the right to request additional data from suppliers or conduct additional verification of the accuracy and authenticity of the data provided by them. If the verification of the supplier’s data or identity fails, the Seller may suspend or block the supplier’s account and, if justified, impose other consequences described in the Terms and Conditions.As part of the verification, the Seller may request the supplier to provide, among others:
- A scan of a current certificate of entry in the business activity register or a current excerpt from the National Court Register (KRS).
- A scan of the confirmation of registration as a taxpayer of goods and services tax (VAT) and excise tax, as well as the decision on assigning the tax identification number or confirmation of registration as a VAT taxpayer.
The Seller may refuse to grant a given entrepreneur access to supplier status in the Store if such refusal is justified by the legitimate interest of the Seller, particularly in the following cases:
- If the supplier or entities affiliated with them engage in activities contrary to applicable law, the Terms and Conditions, or good practices, including conducting or advertising businesses that compete with the Service.
- If the supplier provides incomplete, false, or misleading information.
- If information is obtained about pending bankruptcy, restructuring, arrangement, or liquidation proceedings against the supplier.
- If the supplier suspends or closes their business activity.
The supplier is required to update their identifying data and any information necessary for settlements with the Seller immediately after any related change, but no later than within 2 business days.To close an account (equivalent to terminating the agreement for account maintenance), the supplier must inform the Seller of the planned account closure via an email sent to the Seller’s address. Closing the account does not affect the supplier’s existing obligations to buyers (if any) or settlements between them and the Seller.After successful registration in the Store, the supplier is automatically subscribed to the internal newsletter for suppliers, which includes information from the Seller about its services. Messages sent as part of the newsletter will include information on how to unsubscribe, as well as an unsubscribe link. The supplier may unsubscribe from the newsletter at any time, without providing a reason or incurring any costs, by sending a statement of resignation via email to the Store or by clicking the unsubscribe link in the newsletter email.
- 3 DELIVERY OF PRODUCTS
The sale of the supplier’s products is conducted under the resale model, meaning that the Seller purchases Products from the supplier to include them in its assortment and resell them. The Product purchased by the Seller from the supplier is shipped directly from the supplier’s warehouse to the end customer.Delivery of Products also includes their preparation for shipment and customization according to the template or specifications provided by the Customer (if applicable) by the supplier.The supplier may present Products to the Seller for inclusion in the Store’s assortment, provided that the following conditions are met:
- The Products must be allowed under the Terms and Conditions or individually approved for sale by the Seller.
- The supplier must be an entity authorized to transfer ownership of the Products.
- The sale, use, or possession of such Products must not infringe on third-party rights and must comply with intellectual property laws and local, national, or international regulations.
The Product supplied by the supplier must meet commonly applied market standards for such Products, depending on its nature, unless otherwise agreed between the supplier and the Seller, as reflected in their agreement.The supplier, when submitting a Product to the Seller for inclusion in the Store’s assortment, must adhere to all requirements indicated in the Terms and Conditions. The supplier must complete a form, selecting the category and specifying the product they want to include in the Store’s assortment, as well as determining its price.The content of the supplier’s submission for a Product to be included in the Store’s assortment must be truthful, clear, and understandable and meet the technical requirements specified by the Seller, in particular:
- Be written in English.
- Contain a clear, accurate, and complete description of the Product, providing truthful and non-misleading information about its features.
- Indicate whether the Product consists of a single unit, multiple units, or a set/package (a set means a group of items that form a single whole). In the case of a set, the supplier specifies the price for the set.
The Seller reserves the right to reject submissions that do not meet the above requirements.The supplier agrees to provide the Seller with all necessary informational and marketing materials required to list the selected Products on the Seller’s website.The supplier also agrees to provide the Seller with all necessary materials related to the use of the Product, particularly those related to fulfilling obligations under the GPSR regulation, including operating instructions (if any), a list of safety labels, and information about the manufacturer/responsible entity.Orders obtained from Customers will be forwarded to the supplier’s email address provided during supplier registration and will be marked with a unique identification number for communication purposes, which will be used in relations between the supplier and the Seller to identify the respective order.
- 4 RESPONSIBILITY
The supplier is obligated to refrain from:
- Using the Store’s functionalities, directly or indirectly, for purposes contrary to the law, violating legal provisions, in a manner inconsistent with the Terms and Conditions, good practices, or generally accepted principles of Internet use.
- Violating the rights of the Seller or third parties, in particular by providing false data, impersonating other entities, or abusing granted rights.
- Submitting Products for inclusion in the Store’s assortment whose sale is prohibited.
- Failing to fulfill agreements concluded with the Seller.
- Directly or indirectly interfering with the Seller’s IT system to unlawfully modify data, cause dysfunctions, or overload IT systems.
The supplier assumes full responsibility for the content of the information they publish.In the product submission form for inclusion in the Store’s assortment, the supplier is required to include Product images that meet the following guidelines:
- Format: JPG, PNG, BMP, or HEIC.
- Dimensions: 1080 x 1080 pixels.
- Maximum size: 2 MB.
- The presented Product should be centered on a white background.
The supplier is obligated to ensure that the Products are of the highest quality.The supplier must ensure timely delivery of the Product to the Customer within the timeframe specified by the Seller.The supplier, as an entity providing professional services, assumes full responsibility for the quality and timeliness of fulfilling Product orders.All costs necessary for the preparation and execution of the order are borne by the supplier.The supplier guarantees that all individuals preparing the Products for shipment have the necessary authorizations to fulfill the Order.The supplier declares that they possess the necessary authorizations to conduct this type of activity and assumes the risks associated with it.The supplier may delegate certain activities related to order fulfillment to subcontractors, but they will be responsible for their actions or omissions as if they were their own.The supplier is responsible for ensuring that the Products are labeled and identified in the language of the destination country as required by legal regulations, including those of the European Union, and for ensuring that such labels meet other legal requirements.The supplier agrees to comply with all guidelines provided by the Seller.The supplier is obligated to continuously inform the Seller about the stages of execution of individual orders. This includes providing information about the acceptance of the order, assigning the order for execution, informing the Seller about the delivery date of the Products, and, if possible, also about the delivery time to the end Customer, by providing access to the tracking number and sending a link to track the delivery of the package.
- 5 SETTLEMENTS
Settlements are carried out as follows: after the sale of a given Product by the Seller, the Seller sends the supplier information about the address to which the Product should be shipped, and based on this, the supplier issues the appropriate settlement document to the Seller. The issuance of the document is based on periodic sales reports sent by the Seller to the supplier.If the end Customer does not collect the package or refuses to accept it, the package will be sent to the supplier’s headquarters at the Seller’s expense. In such a case, the supplier will issue and deliver a VAT invoice to the Seller for an amount corresponding to the transportation costs of the package returned to the supplier, with a payment term of 7 days. However, the transportation costs of the package to the supplier cannot exceed the transportation costs of the Product to the end Customer on the day the package was sent.
- 6 COMPLAINTS AND OTHER CONSUMER RIGHTS
The implementation of consumer rights, such as withdrawal from the contract, handling warranty claims (if a warranty was provided), or complaints, rests entirely with the Seller. The supplier’s role is limited solely to delivering the Product to the address indicated by the Seller (dropshipping).
- 7 FINAL PROVISIONS
Changes to these supplier terms and conditions will be made in the manner and within the timeframes specified in the primary Terms and Conditions.
